Ethics Code of Conduct

PrecisionX Group will conduct business honestly and ethically wherever operations are maintained. We strive to improve the quality of our services, products, and operations while maintaining a reputation for honesty, fairness, respect, responsibility, integrity, trust, and sound business judgment.

Our managers and employees are expected to adhere to high standards of business and personal integrity as a representation of our business practices, at all times consistent with their duty of loyalty to the Company.

We expect that officers, directors, and employees will not knowingly misrepresent the Company and will adhere to the following principles:

Corruption and Money Laundering

All employees will make every effort to prevent opportunities for corruption within their own role and, when possible, within other roles across the organization.

Employees must comply with all applicable laws in a manner that excludes considerations of personal advantage or gain. To reduce the risk of corruption, employees must follow the Conflict of Interest and Expense policies detailed in the Employee Handbook.

Employees shall not:

  • Seek or accept gifts, favors, entertainment, or payments without a legitimate business purpose.

  • Seek or accept personal loans (other than conventional loans at market rates from recognized lending institutions) from any person or organization that does business with, seeks to do business with, or competes with the Company.

Conflict of Interest

PrecisionX Group is committed to preventing conflicts of interest that create actual or potential job-related concerns, particularly in the areas of:

  • Confidentiality

  • Customer relations

  • Safety

  • Security

  • Employee morale

If an actual or potential conflict of interest exists between an employee and a competitor, supplier, distributor, or contractor of the Company, it must be disclosed immediately to management.

When a conflict of interest is identified, the Company will take appropriate steps to reduce or eliminate the conflict.

Fraud

PrecisionX Group is committed to ensuring accurate reporting and disclosure both internally and externally with stakeholders.

Company books and records must accurately and fairly reflect all transactions in sufficient detail and in accordance with:

  • Applicable laws and regulations

  • Established financial standards

  • Generally accepted accounting principles (GAAP)

  • Company accounting policies and practices

Employees are prohibited from knowingly providing inaccurate, incomplete, or misleading information when acting on behalf of the Company or when preparing employment-related documents, including but not limited to:

  • Employment applications

  • Personnel files

  • Performance reviews

  • Internal communications

  • Expense reports

Anti-Competitive Practices

PrecisionX Group is committed to fostering free and open competition and will never engage in improper practices that limit competition.

Employees are prohibited from gaining competitive advantages through unethical or illegal business practices and are expected to conduct business fairly with all stakeholders.

All privileged information and material facts should be evaluated to ensure they were obtained ethically and are used appropriately.

Information Security

PrecisionX Group is committed to protecting trade secrets, proprietary information, and other confidential or commercially sensitive information relating to the Company and its partners.

Examples include:

  • Financial records and reports

  • Sales information

  • Marketing and business strategies

  • Product development information

  • Customer lists

  • Patents and trademarks

This commitment is supported through the Confidentiality and Nondisclosure of Trade Secrets Policy contained within the Employee Handbook.

Violations and Enforcement

Violations of this Code of Ethics may result in disciplinary action, up to and including termination of employment.

The degree of disciplinary action may be influenced by:

  • Voluntary disclosure of an ethical violation

  • Cooperation during any subsequent investigation

All employees are expected to uphold these standards and contribute to a culture of integrity, accountability, and ethical business conduct.
